Terms of Service

These Terms of Service ("Terms") constitute a binding legal agreement between you ("User", "you") and TTerminal ("TTerminal", "we", "us") governing your access to and use of the TTerminal website at tterminal.com and the associated trading intelligence platform, applications, and services (collectively, the "Service"). By creating an account, starting a trial, or otherwise using the Service, you agree to be bound by these Terms.

Important. The Service provides analytical tools and market intelligence. It is not investment advice, and TTerminal is not a broker, dealer, or fiduciary. You are solely responsible for your trading decisions. Read our Risk Disclosure carefully before trading any financial instrument.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. The Service is not available to persons in jurisdictions where its use would violate local laws, including persons on sanctions lists maintained by the EU, UK, US OFAC, or UN.

2. Account registration

You must provide accurate, complete, and up-to-date information when creating an account. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorised access at contact form

You may not share your account or transfer it to another person. Each natural person may hold only one active account.

3. Subscription and billing

The Service is offered on a paid subscription basis at the prices published at tterminal.com/pricing. The principal terms:

• Subscriptions auto-renew at the end of each billing period until cancelled.
• Payment is processed through Stripe. Card details are handled exclusively by Stripe in accordance with PCI-DSS.
• You can cancel at any time. Cancellation takes effect at the end of the current billing period; you retain access until then.
• No mid-cycle refunds. Once a billing period has started, that period's fee is non-refundable except where required by applicable law.
• Prices are subject to applicable VAT or sales tax.
• We may change prices on 30 days' notice. Existing subscribers continue at the prior price until their next renewal.

4. Free trial terms

If we offer you a free trial (e.g., a 7-day free trial):

• You must provide a valid payment method to start the trial.
• You receive full access to Pro features during the trial period.
• If you do not cancel before the trial ends, your card will be automatically charged the applicable subscription fee and the paid subscription will begin.
• You can cancel from your account dashboard at any time during the trial without being charged.
• Each person and each payment card is eligible for one trial. Repeat trial attempts (including via duplicate emails, IPs, or card fingerprints) may be blocked or cancelled by our anti-abuse systems. Re-trials are available 6 months after the end of a prior membership.

5. Licence to use the Service

Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, revocable licence to access and use the Service for your individual trading and research purposes. All right, title, and interest in the Service - including software, content, logos, and trademarks - remain with TTerminal or our licensors.

6. Prohibited conduct

You agree not to:

• Reverse engineer, decompile, scrape, or harvest data from the Service except as expressly permitted by our API terms
• Use the Service to provide a competing product or service to third parties
• Resell, sublicense, or redistribute Service content without our written consent
• Use the Service for illegal trading, market manipulation, insider dealing, or any other unlawful purpose
• Attempt to circumvent authentication, rate limits, payment, or trial-abuse controls
• Interfere with the Service's operation, including by transmitting viruses, conducting DDoS attacks, or exploiting vulnerabilities (other than via our responsible disclosure programme)
• Use automated trading or AI agents that exceed reasonable per-user request rates
• Misrepresent yourself or your affiliation with any person or entity

7. Market data and third-party content

The Service aggregates market data, news, and analytics from a wide range of third-party sources, including Polygon.io, Tiingo, Twelve Data, Bybit, ForexFactory, FRED, and others. Such data is provided "as is" by these sources. Display delays, gaps, errors, or revisions may occur. We disclaim all warranties regarding third-party data and you may not redistribute it without permission from the underlying provider.

8. Service availability

We target 99.9% monthly uptime but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, upstream outages, or events beyond our control. We are not liable for losses arising from downtime, data feed interruptions, or platform-related delays.

9. No financial advice

TTerminal is a technology product, not a regulated investment service. Nothing on the Service constitutes investment, legal, tax, or other professional advice. Scores, signals, narratives, and analytics are informational only. Always conduct your own due diligence and, where appropriate, consult a qualified advisor before making any trading decision.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED ACCESS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL SUCH WARRANTIES.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• TTerminal's aggregate liability arising out of or relating to the Service is capped at the amount you paid us in the 12 months preceding the event giving rise to liability, or EUR 100, whichever is greater.
• We are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost trading opportunities, lost data, or business interruption, even if foreseeable.
• Nothing in these Terms excludes liability for fraud, gross negligence, or death or personal injury caused by our negligence, or any other liability that cannot be excluded under applicable law.

12. Indemnification

You agree to indemnify and hold harmless TTerminal and its officers, directors, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Service, or your violation of applicable law.

13. Termination

We may suspend or terminate your account at any time, with or without notice, if you breach these Terms, attempt fraudulent activity, or pose a risk to the Service or other users. You may close your account at any time from the account dashboard or by using our contact form. Sections 5, 6, 9-13, 15-16 survive termination.

14. Changes to these Terms

We may amend these Terms from time to time. Material changes will be notified by email and via in-app banner at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the Czech Republic. Any dispute arising out of or relating to these Terms will be resolved by the competent Czech courts, without prejudice to mandatory consumer-protection rights in your country of residence. Nothing in this clause prevents you from raising a complaint with your local consumer protection authority or alternative dispute resolution body.

16. General provisions

• Entire agreement. These Terms, together with the Privacy Policy, Risk Disclosure, and any plan-specific terms, constitute the entire agreement between you and us.
• Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.
• No waiver. Our failure to enforce any right does not constitute a waiver of that right.
• Assignment. You may not assign these Terms without our written consent. We may assign these Terms to a successor in a merger, acquisition, or asset sale.
• Notices. We may send notices to the email address associated with your account. Notices to us should be sent to contact form.
